Practice Transitions & Valuations in Today’s Market

Transferring ownership of a dental practice is often the most significant financial transaction to take place during a dentist’s professional career. While most dentists hope to experience a dental transition only twice in their career (as a seller and as a buyer), proper planning and understanding of the many options available is imperative to the successful transfer of what is typically a dentist’s largest single investment asset. Some of the topics that will be covered are: income, market, asset and avoided valuation theories; when is the right time to transition; transition options; structuring the sale; tax ramifications; financing the sale; and contractual issues.

Contracts work best when everyone understands what’s important, and what’s actually being agreed to – no one likes surprises. Preparing your Practice for Sale

In the real estate market, staging has become a huge part of the successful sale process. Staging is the act of preparing a space for sale with the goal of making the property more appealing to a larger group of potential buyers. In the dental market, staging is probably an important element in preparing an office for sale, yet it is rarely implemented. Selling a dental practice should be a strategically planned event, should be under your timeline, should include a group of experts, and should be implemented well in advance of the actual event. Ideally the planning process should begin 2 - 5 years before the actual sale.

Tools for Rural Iowa Dental Practices in Transition

As the years go by, the challenges for dental service and coverage in rural Iowa become more difficult. Retirements and vacancies at rural dental offices place a burden on local communities and regions. IADG is the community and business development office for Iowa’s rural electric cooperatives and independent telecommunication companies. IADG staff members, Ms. Cosner and Mr. Hansen, reach out to communities, dental students and dental professionals to bring resources together to “FIND” and recruit dentists to rural Iowa. These resources may include finding local partners, financial packaging and technical support.

What to Think About in Your First Associate Contract, Lease, or Purchase Agreement.

Two experienced transactional lawyers discuss key issues involved with some of the contracts that will shape your practice. They will help you decide when you’re getting a fair deal and when it may be necessary to walk away. The presentation focuses on a buyer’s perspective, and highlights issues contained in associate contracts, lease or real estate purchase agreements, and practice purchase transactions. The lawyers discuss what a fair contract looks like, which terms are negotiable, and some ‘red flags’ that should concern you. This session considers both practical and philosophical issues with the assumption that an ounce of prevention is worth more than a pound of cure.
